
This Subscription Agreement ("Agreement") is entered into between RepuTap ("Company") and the business or individual ("Client") who subscribes to the RepuTap platform. This Agreement governs the Client's access to and use of the RepuTap subscription service and supplements the RepuTap Terms of Service.
By completing a Stripe checkout or accepting a subscription invitation from RepuTap, the Client agrees to be bound by this Agreement.
Subject to the Client's payment of applicable fees and compliance with this Agreement, RepuTap grants the Client a limited, non-exclusive, non-transferable right to access and use the RepuTap platform during the subscription term.

Feature availability is subject to plan tier. RepuTap may add features to any tier at its discretion. Removal of an existing feature from a tier requires 30 days' notice to affected Clients.
The Client agrees to pay the monthly subscription fee corresponding to their selected plan. Fees are charged in advance on a monthly basis on the same calendar day the subscription began (e.g., a subscription starting April 5 is billed on the 5th of each subsequent month).
All payments are processed by Stripe. The Client must maintain a valid payment method on file. By subscribing, the Client authorizes RepuTap to charge the payment method on file on a recurring monthly basis without additional authorization for each charge.
RepuTap may change subscription pricing with 30 days' written notice by email to the address on file. If the Client does not cancel before the new price takes effect, continued use constitutes acceptance of the new price.
Subscription fees do not include applicable taxes. The Client is responsible for any sales tax, VAT, or similar tax arising from their subscription, unless RepuTap is legally required to collect and remit such taxes directly.
This Agreement begins on the date the Client's subscription is activated and continues on a month-to-month basis until cancelled by either party.
Subscriptions automatically renew each month unless cancelled. Cancellation must be completed before the next billing date to avoid being charged for the upcoming period.
If RepuTap offers a free trial, the trial period is 30 days from activation. At the end of the trial, the subscription automatically converts to a paid subscription and the Client's payment method is charged. The Client may cancel before the trial ends to avoid charges.
The Client may cancel at any time by using the Stripe billing portal linked from the dashboard, or by emailing info@reputap.net with the subject line "Cancel Subscription." Cancellation takes effect at the end of the current billing period. The Client retains access to the platform until that date.
RepuTap does not issue partial refunds for unused days in a billing period. If a Client cancels mid-month, they retain access through the end of that month and will not be charged for the following month.
Refunds may be issued at RepuTap's sole discretion in the event of a documented billing error or duplicate charge. To request a review, email info@reputap.net within 14 days of the disputed charge.
NFC hardware purchases are final and non-refundable unless the device arrives defective (see Terms of Service Section 6.4).
The Client agrees to:
RepuTap targets 99% uptime for the feedback form and dashboard. Scheduled maintenance will be performed during off-peak hours when possible.
RepuTap provides standard email support via info@reputap.net with a target response time of 1 business day. Enterprise plan subscribers receive priority support with a 4-hour response time.
RepuTap is a small business and does not guarantee a formal SLA at this time. In the event of a prolonged outage (more than 24 consecutive hours), RepuTap will make reasonable efforts to provide service credit or remediation.
All feedback data collected through the Client's RepuTap account belongs to the Client. RepuTap processes this data solely to provide the Service.
The Client may request an export of their feedback data at any time by emailing info@reputap.net. Upon cancellation, data export requests must be submitted within 30 days. After 30 days, data may be permanently deleted.
Each party agrees to keep confidential any non-public information received from the other party in connection with this Agreement, and to use it only for the purposes of this Agreement.
If a payment fails and is not resolved within 7 days of notice, RepuTap may suspend dashboard access. Access is restored upon successful payment.
RepuTap may terminate this Agreement immediately if the Client materially breaches this Agreement and fails to cure the breach within 7 days of notice, violates the Acceptable Use Policy, or engages in fraudulent or illegal activity.
Upon termination, the Client's access to the dashboard and all associated data will be suspended. The Client is responsible for exporting any data they wish to retain before termination.
Each party represents and warrants that it has the authority to enter into this Agreement and will comply with all applicable laws in performing its obligations under this Agreement.
RepuTap additionally warrants that the Service will function materially as described in this Agreement, and that RepuTap will not sell Client data or End User feedback data to third parties.
RepuTap's liability under this Agreement is limited as described in the Terms of Service (Section 12). In no event shall RepuTap be liable for lost revenue, lost customers, damage to the Client's Google rating, or any consequential damages arising from use or inability to use the Service.
This Agreement is governed by the laws of the State of Florida. Disputes shall be resolved in accordance with the Terms of Service (Sections 15 and 18).
This Subscription Agreement, together with the RepuTap Terms of Service, Privacy Policy, and Refund & Acceptable Use Policy, constitutes the entire agreement between RepuTap and the Client with respect to the subscription service and supersedes all prior communications or agreements on the subject.
